Welcome to Varaya.io! These Terms and Conditions govern the relationship between you (the "Client") and Varaya.io (the "Agency"). By engaging our services, you agree to comply with and be bound by these Terms and Conditions. These terms are in accordance with international standards and are designed to protect both parties throughout the project.
Client: The individual or business entity that engages Varaya.io for web design, development, or other related services.
Agency: Varaya.io, a web design and development agency providing services to the Client.
Services: All services provided by Varaya.io, including but not limited to web design, web development, branding, SEO, and consulting.
Deliverables: The final product, such as websites or designs, as agreed upon by both parties.
Project: The scope of work agreed upon in a written or digital agreement between the Client and Varaya.io.
The Agency agrees to provide services as outlined in the signed proposal, statement of work, or contract. The Client agrees to cooperate by providing necessary information, resources, and approvals. The scope of services may include, but is not limited to:
Web design and development
Website maintenance and support
Branding and digital marketing services
SEO optimization
Custom development solutions
Any changes to the project scope must be agreed upon in writing and may incur additional costs.
Payment Schedule: A deposit of 80 % is required before the project begins. The remaining balance is due upon completion and delivery of the project, or as outlined in the contract.
Additional Costs: Any costs for additional services, third-party plugins, hosting, or licenses will be invoiced separately.
Late Payments: Payments are due within 5 days of invoice. Late payments may incur a 1 % interest fee per month.
Currency: All payments shall be made in invoiced currency.
The Client agrees to:
Provide accurate and timely information, content, and resources.
Make decisions and approvals promptly to ensure project deadlines are met.
Ensure all content provided is free from copyright infringement.
Adhere to the project timeline and payment terms.
Failure to meet these responsibilities may delay the project timeline or result in additional fees.
Revisions: The Client is entitled to [Insert Number] rounds of revisions at no extra charge. Additional revisions will be billed at the Agency's standard hourly rate.
Scope Creep: Any additional requests outside the original scope of work will be considered "scope creep" and will require a separate agreement, with pricing to be determined.
Estimated Timeline: Varaya.io will provide an estimated project timeline at the start of the project. Timelines are subject to change based on the Client’s responsiveness and any scope changes.
Delays: If the Client fails to meet deadlines or provide required information, the project completion may be delayed. The Agency is not responsible for such delays.
Ownership: Upon full payment, the Client will own all rights to the final deliverables (e.g., website, code, design files). Varaya.io retains the right to use these works in its portfolio, case studies, or marketing materials unless otherwise agreed.
Third-Party Materials: The Client is responsible for securing licenses or rights for any third-party materials (e.g., fonts, stock images) unless otherwise agreed.
Pre-existing IP: Any intellectual property (IP) owned by Varaya.io prior to the project will remain the property of Varaya.io.
Both parties agree to keep all confidential information private and not disclose it to third parties. This includes business strategies, designs, code, and any proprietary information shared during the project.
Termination by the Client: The Client may terminate the agreement at any time with 10 days' written notice. In this case, the Client will be invoiced for all work completed up to the termination date.
Termination by the Agency: Varaya.io may terminate the agreement if the Client breaches the Terms and Conditions or fails to make payments on time.
Effect of Termination: Upon termination, all work delivered up to that point will be provided to the Client, but no further work will be undertaken.
Warranty: Varaya.io warrants that the deliverables will function as described for 60 days following delivery. Any bugs or issues identified during this period will be corrected at no extra charge.
Post-launch Support: The Client may opt for ongoing maintenance and support services. This will be provided based on a separate support agreement.
The Agency will not be liable for any indirect, special, or consequential damages arising from the use of or inability to use the deliverables. The maximum liability of Varaya.io shall not exceed the total amount paid by the Client for the specific project.
Neither party shall be held liable for delays or failures in performance caused by circumstances beyond its control, including acts of God, war, government action, or natural disasters.
Governing Law: These Terms and Conditions will be governed by and construed in accordance with the laws of Nigeria, unless otherwise agreed upon by both parties in writing for international clients.
Dispute Resolution: Any disputes arising from this agreement will first be attempted to be resolved through negotiation. If negotiation fails, disputes will be resolved in a mutually agreed-upon location.
Varaya.io will handle all personal information in accordance with its Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR) for European clients.
